End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legally binding agreement between you ("User") and GTG.Online, LLC ("GTG," "we," or "us") governing your use of the GTG Beacon application ("Beacon" or "Service").

1. License Grant

Subject to your compliance with this EULA, GTG grants you a limited, non-exclusive, non-transferable, revocable license to access and use Beacon solely for your personal, non-commercial purposes.

2. Age Eligibility

You must be at least 13 years of age to access or use Beacon. By accessing or using the Service, you affirm that you are at least 13 years old.  

3. Restrictions

You expressly agree not to: 

  • Sell, transmit, host, sublicense, rent, lease, or commercially exploit the Service in any manner; 
  • Copy, duplicate, or reproduce Beacon for any purposes other than personal, non-commercial use without the explicit written consent of GTG; 
  • Modify, decrypt, reverse compile, disassemble, reverse engineer, or otherwise attempt to derive the source code or underlying methodologies of the Service; 
  • Use Beacon in violation of any applicable laws, regulations, or third-party rights. 

4. Updates and Modifications

GTG reserves the right to update, modify, enhance, or otherwise change Beacon periodically without prior notice. Such updates may include new features, improvements, bug fixes, and adjustments. You acknowledge and agree that Beacon may be updated automatically. 

5. Feedback and Suggestions

If you provide any feedback or suggestions regarding Beacon, you agree that we may use such feedback or suggestions without obligation to compensate you or provide credit. 

6. Intellectual Property

Beacon, including all its content, software, and trademarks, is the exclusive intellectual property of GTG.Online, LLC and is protected by applicable intellectual property and proprietary rights laws. Your license confers no title or ownership of Beacon or its components and is strictly limited to the rights expressly stated in this EULA. 

7. Privacy Policy

Beacon collects personal information including, but not limited to, your name, phone number, and email address. By using Beacon, you consent to our collection, use, and processing of your personal information as detailed in our Privacy Policy. Our Privacy Policy can be found [Insert link to Privacy Policy]. 

8. Third-Party Providers

Beacon may utilize third-party providers to deliver certain aspects of the Service. GTG is not responsible for the actions, omissions, or policies of these third-party providers, and you agree to comply with their applicable terms of service and privacy policies. 

9. Termination

GTG may terminate or suspend your license to Beacon immediately, without prior notice, if you breach any term or condition of this EULA. Upon termination, you must cease all use of Beacon. 

10. Indemnification

You agree to defend, indemnify, and hold harmless GTG.Online, LLC, its affiliates, officers, employees, and partners from any claims, losses, damages, liabilities, or expenses (including attorney's fees) arising out of your use of Beacon, your violation of this EULA, or your violation of any rights of a third party. 

11. Disclaimer of Warranties

Beacon is provided on an "as-is" and "as-available" basis. GTG disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. GTG does not guarantee that Beacon will be error-free or uninterrupted. 

12. Limitation of Liability

In no event will GTG.Online, LLC or its affiliates, officers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use Beacon, even if GTG has been advised of the possibility of such damages. The total liability of GTG under any circumstances shall not exceed the amount you paid to GTG, if any, to access Beacon. 

13. Governing Law

This EULA will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflicts of law principles. 

14. Binding Arbitration

Any dispute arising out of or relating to this EULA shall be resolved through binding arbitration conducted by a mutually agreed arbitration body, rather than through court litigation. Each party waives any right to a jury trial. 

15. Severability

If any provision of this EULA is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect. 

16. Assignment

You may not assign or transfer your rights or obligations under this EULA without GTG’s prior written consent. GTG may freely assign its rights and obligations under this EULA in connection with a merger, acquisition, sale of assets, or similar event.

18. Entire Agreement

This EULA constitutes the entire agreement between you and GTG regarding your use of Beacon and supersedes all prior agreements, whether written or oral, concerning its subject matter. 

By accessing or using Beacon, you acknowledge that you have read, understood, and agreed to be bound by the terms of this EULA.
