Terms of Service

GTG Beacon

These Terms of Service ("Terms") govern your access to and use of the GTG Beacon application ("Beacon" or the "Service"), provided by GTG.Online, LLC ("GTG," "we," or "us"). By accessing or using Beacon, you agree to these Terms. If you do not agree to these Terms, please discontinue use immediately.

Acceptance of Terms

By accessing and using Beacon, you acknowledge that you have read, understood, and agree to abide by these Terms and all applicable laws and regulations.

Eligibility

You must be at least 13 years of age to use Beacon. By using Beacon, you represent that you meet this age requirement.

User Accounts

You may be required to create an account to use certain features of Beacon. You agree to provide accurate, current, and complete information during registration and to update your information promptly. You are responsible for safeguarding your account credentials and are liable for any activity occurring under your account.

Restrictions on Use

You agree not to:

  • Use Beacon in any unlawful or prohibited manner;
  • Copy, distribute, modify, or otherwise exploit Beacon or its content without our explicit written permission;
  • Attempt to reverse engineer, decompile, or otherwise discover the source code of Beacon;
  • Use Beacon in a manner that could harm or disrupt the Service or its users;
  • Share your account details or allow unauthorized users access to Beacon.

Intellectual Property Rights

Beacon and all associated intellectual property, including trademarks, logos, and content, are exclusively owned by GTG.Online, LLC. Your use of Beacon does not grant you ownership or intellectual property rights in Beacon or any of its content.

Third-Party Services

Beacon may utilize third-party services, and we do not endorse, are not responsible for, and have no control over these services. You agree to comply with the applicable terms and conditions of these third-party services.

User-Generated Content (UGC)

If Beacon allows you to submit, upload, or share content, you retain ownership of your content. However, you grant GTG a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, and distribute your content in connection with providing the Service. GTG reserves the right to remove or modify any content at its discretion.

Feedback and Suggestions

Any feedback or suggestions provided by you regarding Beacon may be freely used by GTG without obligation to provide compensation or credit.

Privacy Policy

Your use of Beacon is also governed by our Privacy Policy, which is available at https://gtg.online/privacy. By using Beacon, you consent to the terms outlined in our Privacy Policy.

Disclaimer of Warranties

Beacon is provided "as is" and "as available." GTG disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation of Beacon.

Limitation of Liability

GTG.Online, LLC and its affiliates, directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of Beacon, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless GTG.Online, LLC, its affiliates, officers, directors, employees, and agents from and against all claims, losses, damages, liabilities, and costs (including attorneys' fees) arising from your use of Beacon, your violation of these Terms, or infringement by you or any other user of your account of any intellectual property or other rights of any person or entity.

Termination

We reserve the right to terminate or suspend your access to Beacon without prior notice for any breach of these Terms or for any reason deemed appropriate by GTG.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from these Terms will be resolved through binding arbitration, with arbitration conducted by a mutually agreed arbitration body. You waive any right to a jury trial.

Force Majeure

GTG will not be liable for any delay or failure to perform any obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, wars, strikes, pandemics, or telecommunications disruptions.

Assignment

You may not assign or transfer your rights or obligations under these Terms without GTG’s prior written consent. GTG may freely assign its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or similar transaction.

Changes to Terms

We may update these Terms periodically. We will notify you of material changes by posting the updated Terms within Beacon or via email. Continued use of Beacon following such updates signifies your acceptance of the changes.

Severability

If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and GTG regarding your use of Beacon and supersede all prior understandings or agreements, whether oral or written.
